This Prospectus presents the opportunity to invest in CV The Butterfly Tattoo, a Dutch Limited Partnership. A (Dutch) Limited Partnership is an agreement between one or more General Partners and one or more Limited Partners. The General Partner for CV The Butterfly Tattoo is Dynamic Entertainment DEH Ltd; this private limited company is charged with managing the Limited Partnership. The General Partner is liable for all actions made on behalf of the Limited Partnership.

While the General Partner is charged with running the Limited Partnership and liable for all actions and any liabilities or debts on behalf of the Limited Partnership, the Limited Partners can only lose their investment. Limited Partners can never lose more than their investment! The only condition to keeping this limited liability is that the Limited Partners are in no way part of the management of the Limited Partnership, and are not employed by the Limited Partnership or given a proxy to act on behalf of CV The Butterfly Tattoo. Exclusively Dynamic Entertainment DEH Ltd, in its function as General Partner, is responsible for the executive duties and management of the Limited Partnership.

The General Partner has a mandate to manage the Limited Partnership as it sees fit. However, this mandate is limited to keeping in line with the interest of its Limited Partners and obliging by the terms and conditions as set out in the Limited Partnership Agreement.

CV The Butterfly Tattoo

The purpose of CV The Butterfly Tattoo is, as stated in paragraph 2.3 of the Limited Partnership Agreement, to finance, produce, exploit and manage the feature film The Butterfly Tattoo. CV The Butterfly Tattoo was founded and incorporated in accordance with Dutch law on 7th February 2007 by the General Partner, Dynamic Entertainment DEH Ltd, and the first Limited Partner, Skydreams VOF, with its registered address at Turkooislaan 41 in Utrecht, the Netherlands.

By becoming a Limited Partner in CV The Butterfly Tattoo you will share in the profits of the Film for a period of seven years. Appendix D is a list of all parties and persons involved in the production of The Butterfly Tattoo with contact information, registered addresses, correspondence addresses and directors. The actual production of the film will be done by the General Partner per the Limited Partnership Agreement.

Dynamic Entertainment DEH Ltd is a vocal proponent of open business practices. A significant goal of this production is to allow an unprecedented look behind the scenes of film production. Dynamic Entertainment DEH is committed to providing full openness to investors. In its role as Production Company and General Partner it will always keep the interests of all stakeholders in sight.

The project Website, located at www.TBTProject.com, will have an investors-only section that functions as the official communication channel as well as an unprecedented opportunity for all investors to see a side of film production that is normally kept secret.

Based on the agreement with BridgetotheStars.net and HisDarkMaterials.org, these sizeable Philip Pullman fan communities are represented by a committee of four prominent members, two from each site. All four representatives (Ryan, Will, Ian and Erica) are University students and have a strong bond with the extensive fan community in support of this project. They will be given full (level 3) investor insight and will be guarding fan and investor interests. This committee has no vote or other binding consultation rights. They are completely independent and do not report to the Production Company, but rather to the communities they represent.

Authority for the Financial Markets

This investment Prospectus was not registered with the Dutch Autoriteit Financiële Markten (AFM, equivalent to the Financial Securities Authority). It is exempt from this obligation based on a Ministerial Decree. CV The Butterfly Tattoo is not monitored or checked by any Governmental Agency.

This Prospectus and the investment opportunity it supports are covered by Dutch law, which exempts investment opportunities representing a value of €2,5 million or less from the legal obligation to register a Prospectus with the AFM.
